Terms of Service

Last updated: October 29, 2026

These Terms of Service (“Terms”) govern your use of www.expressllc.us (the “Website”), our client portal at portal.expressllc.us (the “Portal”) and every service you order from Express Business Services LLC (“Express LLC”, “we”, “us”). By placing an order or using the Website or Portal, you agree to these Terms. If you do not agree, please do not order or use our services.

1. Who we are

Express Business Services LLC is a Wyoming limited liability company. Mailing address: 1401 21st St STE 10606, Sacramento, CA 95811, USA. Email: info@expressllc.us.

We are a business filing and compliance service. We are not a law firm, an accounting firm or a bank, and we do not give legal, tax or financial advice. See our Legal Disclaimer for details.

2. Our services

We prepare and file documents and provide related services on your behalf, including: company formation (LLC and corporation), EIN applications, ITIN application assistance, registered agent service, annual report filings, amendments, dissolutions, U.S. business addresses and virtual office services, federal and state tax return preparation and filing, sales tax registrations, trademark (USPTO) applications and apostille services. Tax returns are prepared by our in-house team. ITIN applications are handled by our team, which includes an IRS-authorized Certified Acceptance Agent (CAA). The scope and price of each service are shown on the Website at the time of your order.

Prices on the Website include our service fee. Government fees (state filing fees, USPTO fees and similar) are shown separately or included as stated on the order form.

3. Eligibility and your information

You must be at least 18 years old and able to enter into a binding contract. You agree to give us complete, accurate and current information and documents, and to update them when they change. We rely on the information you provide. We are not responsible for delays, rejections, penalties or other consequences caused by incorrect, incomplete or late information.

By ordering, you authorize us to sign and submit filings, applications and correspondence on your behalf to state agencies, the IRS, the USPTO and other authorities as needed to deliver the service you ordered.

4. Processing times and outcomes

We aim to submit filings quickly, often on the same business day the order and all required information are received. Approval times are set by the state agency, the IRS or another authority and are outside our control. Any timeline we mention is an estimate, not a promise.

We cannot guarantee that a state will approve a company name or filing, that the IRS will issue an EIN or ITIN within a certain time, or that any bank, payment processor (including Stripe or PayPal), marketplace or other third party will approve an account for you. Those decisions are made solely by the third party.

5. Payment

Payment is due in full when you place an order. Payments on the Website are processed by Stripe; we do not store your full card details. You authorize us to charge the payment method you provide for the order total and, for subscriptions and annual services, for each renewal as described below.

6. Refund policy

We start work on your order immediately, usually on the same day, and we pay government fees and assign resources (registered agent, address) at that time. For this reason, all orders are final and non-refundable once placed, including company formation, EIN, registered agent, address, tax and all other services.

One exception: if you cancel an ITIN application service in writing before we submit the application to the IRS, we will refund the service fee, less any costs already incurred. Once the application has been submitted to the IRS, no refund is available.

Government fees are never refundable once paid to the authority, regardless of the outcome of the filing.

If you believe a charge is incorrect, please contact us at info@expressllc.us before contacting your bank. We will review every request in good faith.

7. Subscriptions and annual renewals

Some services renew automatically:

  • Virtual Office + Lease Agreement ($39/month): billed monthly to your card until cancelled. You can cancel at any time by contacting us. Cancellation takes effect immediately: the address, lease and mail handling end on the date of cancellation, and no partial-month refunds are given. If a monthly payment fails and is not resolved after our reminders, the service is cancelled.
  • Annual services (such as registered agent, business address and annual report filing): invoiced each year before the renewal date through the Portal or by email. If a renewal invoice is not paid, we may cancel the service and resign as registered agent as permitted by state law. An unpaid annual report or lapsed registered agent can lead the state to place your company in bad standing or dissolve it. Keeping your company in good standing is your responsibility.

8. Registered agent, address and mail

When we act as your registered agent or provide a business address, we receive mail and official notices on your behalf, scan them and make them available in the Portal. We are not responsible for the content of mail, for deadlines in notices you do not read, or for mail lost or delayed by carriers. Our address may not be used for illegal purposes, for mass mail campaigns or as a residential address. We may refuse or end the service if it is misused.

9. Client Portal

Paying clients receive access to the Portal, where we share company documents, mail scans and notices. Keep your login details confidential. You are responsible for activity under your account.

10. Your responsibilities

After your company is formed, you remain responsible for complying with all federal, state and local laws that apply to it, including tax filings, annual reports, licenses and record keeping, unless you have ordered and paid for that specific service from us. Our compliance reminders are a courtesy and do not shift that responsibility to us.

11. Acceptable use

You may not use our services for any unlawful purpose, to hide the identity of a business owner from authorities, or for fraud, money laundering, sanctions evasion or other prohibited activity. We may refuse or end service, without refund, if we reasonably believe our services are being misused or if you give us false identity information.

12. Limitation of liability

To the fullest extent permitted by law, our total liability for any claim related to a service is limited to the service fee you paid us for that specific service (not including government fees) in the 12 months before the claim. We are not liable for indirect, incidental or consequential damages, including lost profits, lost business opportunities, penalties or fees imposed by third parties, or decisions made by any government agency, bank or payment processor.

13. Intellectual property

All content on the Website, including text, graphics and logos, belongs to Express LLC or its licensors and may not be copied or reused without our written permission.

14. Privacy

Our Privacy Policy explains how we collect and use personal information, and our Cookies Policy explains the cookies used on the Website.

15. Governing law

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Wyoming, and you consent to their jurisdiction.

16. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date above shows the latest version. The version in effect when you place an order applies to that order.
